NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.
1. PROMOTION PERIOD:
The Art of Salt: Morton Salt Label Design Contest (the "Contest") begins on July 28, 2014 at 12:00:00 P.M. Central Time ("CT") and ends on September 7, 2014 at 11:59:59 P.M. CT (the "Promotion Period"). The computer of the Administrator will be deemed the official Contest Clock.
The Contest is open to individuals who are legal residents of the fifty (50) United States and the District of Columbia, who are 13 years old or older at the time of entry, who have a valid e-mail address, and who are not otherwise ineligible under these Official Rules (each an "Eligible Contestant"). Persons in any of the following categories are not eligible to participate in the Contest or win any prize offered in the Contest: (a) Employees or agents of Morton Salt, Inc. and its parents, affiliates, and subsidiary companies (collectively, "Sponsor"), or Sponsor's participating advertising and promotion agencies (including NEXT/NOW™ agency) involved with the creation and/or administration of the Contest, or Sponsor's prize suppliers; (b) immediate family members (defined as parents, children, siblings and spouse, regardless of where they reside) and/or any persons domiciled in the same household as any person referenced in (a) above; or (c) employees whose employers have a policy which prohibits the awarding of a prize to an employee. By participating in the Contest, you hereby agree that your participation in this Contest is subject to these Official Rules.

September 26, 2014 — Winners will be announced on or before this date on the website: www.mortonartofsalt.com ("Contest Site")
4. HOW TO ENTER:
5. ENTRY REQUIREMENTS/SUBMISSION GUIDELINES:
a. During the Contest Entry Period specified in Section 3 above, download the Official Template from the Contest Site and then use the template as a canvas for you to customize with your original design (leaving the Sponsor's trademarks intact and uncovered in your design). Then upload your original design submission with a brief design title description (maximum 35 characters) (collectively the "Contest Label Submission").
b. Each Contest Label Submission must be submitted in a .jpeg or .jpg format, not exceeding 2 MB in size, and in an image with the same dimensions (width and length) as the Official Template used in such submission. You may submit as many Contest Label Submissions as you like, provided that each Contest Label Submission is sufficiently distinctive.
c. Each Contest Label Submission must be original, and may not include any photographs of any individual persons. Each Contest Label Submission also may not include any trademarks, copyrights, or other material belonging to another company or anyone else. IF YOU USE CONTENT THAT YOU ARE NOT AUTHORIZED TO USE, YOU WILL NOT BE ENTITLED TO ENTER THIS CONTEST AND YOUR CONTEST ENTRY WILL BE DISQUALIFIED.
d. Each Contest Label Submission must use the Official Template that is downloadable from the Contest Site, it must be suitable for display and publication (i.e., may not be obscene or indecent, including but not limited to, be pornographic or include use of profanity); it must not contain defamatory statements (including, but not limited to, words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation or socioeconomic group); it must not include threats of any person, place, business, group or world peace; it must not invade privacy or other rights or any person, firm, or entity; and it must not in any other way violate applicable laws and regulations or network standards.
e. Sponsor grants Eligible Contestants a limited, non-exclusive license to use the Official Template accessible from the Contest Site for the sole purposes of allowing Eligible Contestant to create and submit a customized Contest Label Submission for entry into this Contest. The Official Template may be used for no other purpose than for Contest Entry. This license does not allow for the alteration of any of Sponsor's trademarks on the templates or the addition of any other trademarks on such template.
f. All Contest Label Submissions may be reviewed for content by Sponsor, in Sponsor's sole discretion; however, such review by Sponsor does not relieve you from responsibility for compliance with these Official Rules for the Contest Label Submissions that you have submitted for this Contest. Contest Label Submissions will not be returned and Sponsor is under no obligation whatsoever to use or publish your Contest Label Submission in any manner.
6. SELECTION OF WINNERS.
On or about September 8, 2014, a four-member panel of judges selected by Sponsor will judge the eligible Contest Label Submissions based on the following three criteria, each criterion worth 100 points each: (i) Creativity, (ii) Audience Appeal; and (iii) relevance to Sponsor or its salt products. The Grand Prize Winner will be the Eligible Contestant whose Contest Label Submission received the highest score in the judging. The First, Second, and Third Runner-Up Winners, respectively, will be the Eligible Contestants whose Contest Label Submissions received the second, third and fourth highest scores, respectively.
7. PRIZES/APPROXIMATE RETAIL VALUE ("ARV"):
There will be a total of four (4) prizes:
a. There is one (1) Grand Prize. The Grand Prize Winner selected in the final judging will receive one (1) Grand Prize consisting of: (i) two Permanent Pass tickets to the Art Basel 2014 Show in Miami Beach, Florida scheduled for December 4-7, 2014 (ARV based on 2013 ticket prices: $180 USD); (ii) one cash prize of One Thousand Five Hundred US Dollars (ARV: $1,500 USD); and (iii) Morton Salt prize pack (ARV: $52) consisting of one (1) umbrella with the Morton Salt Umbrella Girl trademark (ARV: $17 USD); one (1) oversized commemorative tin with Morton Salt Umbrella Girl trademark (ARV: $14 USD); one (1) bamboo salt cellar with the Morton Salt Umbrella Girl trademark (ARV: $12 USD); one (1) bottle (2.9 ounce) of MORTON® Sea Salt Grinder (ARV: $3 USD); one (1) canister (1 lb.) of MORTON® Coarse Kosher Salt (ARV: $3 USD); one (1) canister (26 ounce) of MORTON® Plain Table Salt (ARV: $1 USD); one (1) trial size pouch (0.5 lb.) of MORTON® Natural Epsom Salt with Lavender (ARV: $1 USD); one (1) trial size pouch (0.5 lb.) of MORTON® Natural Epsom Salt with Eucalyptus (ARV: $1 USD). Total ARV for Grand Prize: $1,732.00 USD.
b. First Runner-Up Prize: There is one First Runner-Up Prize. d. Prize Limit: The prizes are limited to what is listed in these Official Rules. The winner of a prize is not entitled to any surplus between the actual price of a prize versus its stated approximate retail value. In the event Sponsor is unable to award a prize as stated, the winner will receive a substitute prize of equal or greater value, at Sponsor's sole discretion. Prizes are non-assignable and non-transferable, and there are no cash substitutions permitted for the non-cash prizes. The cash prize portion of the Grand Prize will be awarded in the form of a check made payable directly to the designated winner of such prize. Winners should expect delivery of a prize within four to six weeks of the prize notification, unless otherwise noted at the time of prize notification. Sponsor will not be responsible for, and will not replace, any lost or stolen prizes. Winners are solely responsible for any and all federal, state, and local taxes, if any, that apply to the prizes. A prize winner may waive his or her right to receive a prize. There is a limit of one (1) prize per person.
8. WINNER NOTIFICATION:
On or about September 12, 2014, Sponsor will notify the winners selected in final judging ("Selected Winners") via the email address provided by such Eligible Contestant in his or her Contest Entry. In order to accept and receive a prize, the Selected Winner will be required to provide and/or complete the following items and send them to Sponsor within seventy-two (72) hours of notification: (i) proof of his or her age and residency, (ii) a signed affidavit of eligibility/liability/publicity release form ("Release"), except where prohibited by law, and (iii) information required to be reported on the IRS Form 1099-MISC to be issued by Sponsor to a winner accepting a prize that exceeds $600. If Sponsor is unable within two (2) attempts to contact a potential winner within forty-eight (48) hours of initial notice due to non-response via email and/or invalid email due to "bounce back" response, then Sponsor will select an alternate potential winner based on the same criteria used to determine the initial potential winner. Sponsor's inability to reach a potential winner and/or a potential winner's failure to timely respond to prize notification or a potential winner's failure to comply with any term or condition of these Official Rules may, in Sponsor's discretion, result in the potential winner's disqualification, the forfeiture of his or her interest in the prize, and the selection of a substitute potential winner from among all remaining eligible Contest Label Submissions. Sponsor will select and notify one alternate potential winner for the prize, and if such prize still remains unclaimed within forty-eight (48) hours of that notification, such prize will remain unawarded.
9. WINNER ANNOUNCEMENT:
Sponsor will announce all Contest Prize Winners on or before September 26, 2014.
10. USE OF CONTEST SUBMISSIONS:
a. SPONSOR'S USE OF WINNING CONTEST LABEL SUBMISSIONS:
Upon a winner accepting his or her prize in this Contest for his or her eligible Contest Label Submission, Sponsor has the right to use such winning Contest Label Submission for merchandising, advertising, marketing, promotion, or any other commercial or non-commercial purpose without providing additional compensation to the winner. As set forth in the Official Rules, the winning Eligible Contestants hereby grant to Sponsor an irrevocable, non-exclusive, sub-licensable, royalty-free, fully paid license and right to use, distribute, make derivative works from and otherwise exploit the Contest Label Submission in any manner and in any medium now known or hereafter devised, throughout the world in perpetuity. The winners who have accepted the prize awarded to them in this Contest hereby forever waive and relinquish all so-called "moral rights" now or hereafter recognized.
b. SPONSOR'S USE OF ALL CONTEST LABEL SUBMISSIONS:
Upon submission of a Contest Label Submission by a contestant to enter this Contest, Sponsor has the right to use such Contest Label Submission for the purposes of promoting this Contest without additional compensation, and the contestant, at the time of submission, grants Sponsor an irrevocable, non-exclusive, sub-licensable, royalty-free, fully-paid license and right to use and distribute the Contest Label Submission for those promotional purposes, including but not limited to using the Contest Label Submission on Sponsor's websites, and social networking profile pages including Facebook and Twitter.
Sponsor and its agencies are not responsible for, and shall not be liable for, late, lost, damaged, misdirected, illegible, incomplete or garbled entries or posting problems of any kind; failure or malfunction in electronics, hardware, software, communications, or security; or unsuccessful efforts to notify the winner. Sponsor shall not be liable to contestants for failure to supply any prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond Sponsor's control.
12. COLLECTION OF PERSONAL INFORMATION:
13. YOUR REPRESENTATIONS AND WARRANTIES:
By uploading a Contest Label Submission, caption or any other content for your entry into this Contest, you (or your parent or legal guardian if you are a minor):
a. REPRESENT AND WARRANT THAT YOU OWN ALL RIGHTS TO THE CONTEST LABEL SUBMISSION, CAPTION, AND OTHER CONTENT THAT YOU ARE UPLOADING AS PART OF YOUR SUBMISSION TO THE CONTEST;
b. REPRESENT AND WARRANT THAT IF YOUR CONTENT LABEL SUBMISSION CONTAINS CONTENT FROM A THIRD PARTY, YOU HAVE OBTAINED WRITTEN PERMISSION FROM EACH THIRD PARTY (OR HIS OR HER PARENT OR LEGAL GUARDIAN, IF A MINOR) WHOSE INFORMATION IS BEING USED IN THE SUBMISSION AND THAT SUCH WRITTEN PERMISSION GRANTS TO SPONSOR ALL OF THE RIGHTS OWING TO SPONSOR UNDER THIS AGREEMENT, AND THAT YOU CAN MAKE WRITTEN COPIES OF SUCH PERMISSIONS AVAILABLE TO THE SPONSOR UPON REQUEST;
c. REPRESENT AND WARRANT THAT THE CONTEST LABEL SUBMISSION: (i) IS ORIGINAL TO YOU AND HAS BEEN LEGALLY OBTAINED AND CREATED, (ii) DOES NOT INFRINGE THE INTELLECTUAL PROPERTY, PRIVACY OR PUBLICITY RIGHTS OR ANY OTHER LEGAL OR MORAL RIGHTS OF ANY THIRD PARTY, OR VIOLATE APPLICABLE LAWS OR REGULATIONS; and (iii) HAS NOT BEEN PUBLISHED PREVIOUSLY IN ANY MEDIUM;
d. irrevocably grant to Sponsor and its parents, subsidiaries, affiliates, legal representatives, assigns, agents and licensees, the nonexclusive, unconditional and perpetual right and permission to reproduce, copy, transmit, publish, post, display, adapt, exhibit, and/or otherwise use or reuse (without limitation as to when or to the number of times used), your name, address (city and state only), image, likeness, and Contest Label Submission in any media now known or hereafter devised throughout the world for any purpose, without limitation, and without additional review, compensation or approval from you or any other party.
e. forever waive any rights of privacy, intellectual property rights, and any other legal or moral rights that may preclude Sponsor's use of your Contest Label Submission and agrees to never sue or assert any claim against Sponsor's use of the Contest Label Submission; and
f. agree to indemnify and hold Sponsor and its respective parents, subsidiaries, affiliates, officers, directors, agents, co-branders, or other partners, and any of their respective employees (collectively, the "Indemnitees"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Indemnitees due to or arising out of your Contest Label Submission submitted to Sponsor, or your conduct during and in connection with this Contest, including but not limited to trademark, copyright, or other intellectual property rights, right of publicity, right of privacy, or defamation; and
g. agree to release and indemnify and hold harmless the Indemnitees from any and all claims that any commercial, advertising, presentation, web content. or any other material subsequently produced, presented, and/or prepared by or on behalf of Sponsor infringes on the rights of your work as contained in your Contest Label Submission.
By entering this Contest, you acknowledge and agree that the Sponsor makes no representations or warranties, express or implied, about any prize. BY ENTERING THE CONTEST, YOU ACKNOWLEDGE AND AGREE THAT SPONSOR AND ITS AFFILIATES OR ADVERTISING OR PROMOTIONAL AGENCIES WILL NOT BE LIABLE FOR ANY CLAIMS, LOSSES, OR INJURIES ARISING OUT OF (A) ANY ACTIVITY RELATED TO YOUR PARTICIPATION OR ENTRY IN THE CONTEST; AND/OR (B) A WINNER'S ACCEPTANCE, USE OR MISUSE OF ANY PRIZE OR REWARD.
15. RESERVATION OF RIGHTS BY SPONSOR:
Sponsor has complete discretion over the interpretation of the Official Rules, the administration of the Contest, and the selection of the winners of the Contest, and the decision of Sponsor regarding those matters are final. By participating in this Contest, you agree to be bound by these Official Rules and the decisions of Sponsor which are final and binding on all matters pertaining to the Contest. The decisions of Sponsor regarding the selection of the Prize winners and all other aspects of the Contest shall be final and binding in all respects. Sponsor reserves the right to disqualify any entrants, winners or other persons found tampering with or otherwise abusing any aspect of this Contest, including without limitation the administration of the Contest, as solely determined by Sponsor. Sponsor may, in its sole discretion, cancel, modify or suspend the Contest should a virus, bug, computer problem, unauthorized intervention or other causes beyond Sponsor's control, corrupt the administration, security, fairness, or proper operation of the Contest. Sponsor may prohibit a contestant from participating in the Contest or winning a prize if, in its sole discretion, it determines such contestant is attempting to undermine the legitimate operation of the Contest by cheating, plagiarizing, engaging in any deception, or any other unfair playing practices of intending to annoy, abuse, threaten, undermine or harass any other existing or prospective contestants, or Sponsor's representatives. Should any part of the Contest be terminated prior to the stated expiration date, Sponsor reserves the right to award prizes based on the entries received before the termination date.
16. GOVERNING LAW/DISPUTE RESOLUTION:
This Contest is subject to these Official Rules and all applicable U.S. federal, state or local laws. This Contest is void where prohibited or restricted by law. The laws of the State of Illinois will govern any disputes regarding these Official Rules and/or this Contest, without giving effect to any choice of law or conflict of law rules or provisions that could cause the application of any other state's laws. Unless otherwise prohibited by law, as a condition of participation in this Contest or acceptance of a prize awarded by this Contest, each contestant (or parent or legal guardian, if a minor) agrees that any dispute, controversy or claim arising out of or relating to: (i) this Contest; (ii) the awarding or redemption of a prize; and/or (iii) the determination of the scope of applicability of these Official Rules or their enforcement or interpretation shall be resolved individually, without resort to any class action, in a court of competent jurisdiction in Chicago, Illinois and in accordance with Illinois law. Under no circumstances will contestant (or parent or legal guardian, if a minor) be permitted to obtain awards for, and contestant (or parent or legal guardian, if a minor) hereby waives all rights to claim punitive, incidental or consequential damages, or other damages, including attorneys' fees, other than entrant's out-of-pocket expenses and contestant (or parent or legal guardian, if a minor) further waives all rights to have damages multiplied or increased.
